Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Mr Used platform. By registering or placing an order, you agree to these Terms in full. If you do not agree, do not use the Platform.

1. About the Platform

Mr Used B.V. ("Mr Used", "we", "us") operates a business-to-business (B2B) online marketplace that connects professional buyers and sellers of used, refurbished, and new consumer electronics. Our registered office is in the Netherlands.

Mr Used acts solely as an intermediary between Sellers and Buyers. We do not take title to goods, act as an agent of either party, or guarantee the execution or quality of any Transaction. Individual contracts of sale are formed directly between Seller and Buyer upon acceptance of an Offer.

Mr Used may additionally offer optional value-added services including physical Hub inspection and grading, logistics coordination, and payment processing. Where such services are engaged, supplemental service terms apply.

2. Definitions

The following terms have the meanings assigned to them below throughout these Terms:

Platform
The Mr Used website, API, and associated services operated by Mr Used B.V.
Mr Used B.V.
The legal entity operating the Platform, incorporated under Dutch law.
User / Member
Any registered business entity that has accepted these Terms and uses the Platform.
Seller
A Member who lists goods for sale on the Platform.
Buyer
A Member who places an offer to purchase goods listed on the Platform.
Listing
A product offer published by a Seller, including grade, quantity, price, and condition description.
Offer
A formal bid submitted by a Buyer in response to a Listing.
Deal / Transaction
A binding agreement formed when a Seller accepts a Buyer's Offer.
Hub
A Mr Used physical inspection and logistics facility where devices may be verified.
Pro Forma Invoice
The invoice document generated automatically upon deal acceptance, confirming price and parties.
KYC
Know Your Customer — the identity and business verification process required for full Platform access.
Grade
The standardised condition classification applied to devices (e.g. New, Grade A, Grade B, As-Is).
RMA
Return Merchandise Authorisation — a claim filed by a Buyer under the Returns Policy.

3. Eligibility & Registration

The Platform is exclusively available to businesses. By registering, you represent and warrant that:

  • You are a legally constituted business entity (sole trader, partnership, limited company, or equivalent).
  • You are at least 18 years of age and have full legal authority to bind your organisation to these Terms.
  • Your use of the Platform complies with all applicable laws in your country of residence or incorporation.
  • You are not located in, or acting on behalf of any entity located in, a country subject to sanctions by the EU, UN, or the Kingdom of the Netherlands.

Consumer use is strictly prohibited. Mr Used reserves the right to request documentary proof of business status at any time and to suspend accounts that cannot demonstrate eligibility.

Each company may maintain one active account. Operating multiple accounts without prior written authorisation from Mr Used is prohibited and may result in permanent suspension.

4. KYC Verification

To place an Offer or accept a Deal, all Users must complete Mr Used's Know Your Customer (KYC) process. KYC verification is carried out by Mr Used in compliance with applicable anti-money-laundering (AML) regulations and our internal compliance policy.

4.1 Process

After registering, complete your company profile and submit the required documents. Mr Used will review your submission and respond within one business day. If additional information is required, your account status will be updated accordingly. Upon approval, you will be asked to sign the Mr Used Platform User Agreement via a digital signature service.

4.2 Required Information

Standard KYC requirements include: company registration number, registered address, VAT number (where applicable), name and identification of the authorised representative, and proof of business activity. Mr Used may request additional information at its discretion.

4.3 Status & Access

Account access is graduated. Unverified accounts may browse Listings but may not place Offers or list goods for sale. Partial access may be granted at Mr Used's discretion during the review period. Full B2B access (status: Verified) is activated only upon successful completion of both the identity review and the digital agreement signature.

4.4 Re-verification

Mr Used may require periodic re-verification or request updated documents in response to changes in your business structure, ownership, or applicable regulatory requirements. Failure to provide updated information within the requested timeframe may result in suspension of trading access.

5. Account Security

You are solely responsible for maintaining the confidentiality of your account credentials and for all activity conducted under your account. Mr Used will never ask for your password by email or phone.

You must notify Mr Used immediately at support@mr-used.com if you suspect unauthorised access to your account. Mr Used shall not be liable for any loss arising from your failure to secure your credentials.

You may not share, sell, or transfer your account to another person or entity.

6. Listings & Product Information

Sellers are solely responsible for the content and accuracy of their Listings. The following obligations apply:

  • Descriptions must accurately reflect the device grade, cosmetic condition, functional status, and any known defects.
  • Quantities listed must be available and reserved exclusively for the listed period.
  • Prices are quoted in the currency specified in the Listing. All prices are exclusive of VAT unless stated otherwise.
  • IMEI or serial numbers, where applicable, must not appear on blacklists (e.g. GSMA Device Registry, national carrier blacklists).
  • Sellers must disclose any iCloud Activation Lock, Google FRP lock, or carrier lock status prior to listing.
  • Listings of stolen, counterfeit, or otherwise illegally obtained goods are strictly prohibited.
  • A Listing may be edited prior to an Offer being placed. Once an Offer is received, material changes to the Listing require withdrawal and re-listing.
  • Mr Used reserves the right to remove any Listing at its sole discretion without prior notice.

7. Prohibited Items & Conduct

The following may not be listed or transacted on the Platform under any circumstances:

  • Consumer electronics known to be blacklisted, reported stolen, or subject to a legal hold.
  • Counterfeit, replica, or rebranded devices misrepresented as original manufacturer products.
  • Devices with active iCloud Activation Lock or Google FRP lock, unless explicitly disclosed as such.
  • Items subject to export control or economic sanctions that the Seller cannot lawfully export.
  • Medical devices, weapons, hazardous materials, or any item whose sale requires a special licence not held by the Seller.
  • Products whose sale would infringe third-party intellectual property rights.

Mr Used reserves the right to report suspicious listings or transactions to relevant law enforcement or regulatory authorities. Sellers found to have listed prohibited goods will be permanently suspended and may be subject to legal action.

8. Seller & Buyer Obligations

8.1 Seller obligations

  • Ensure all listed goods are in their possession and can be shipped within the timeframe stated in the Listing.
  • Pack goods safely and in accordance with any Hub intake specifications provided by Mr Used.
  • Provide accurate shipping documentation, including commercial invoice and packing list, for all cross-border shipments.
  • Co-operate with Mr Used's Hub inspection process and accept re-grading where the physical condition deviates from the Listing.
  • Issue a proper VAT invoice to the Buyer (where applicable) in accordance with local legislation.
  • Promptly communicate any inability to fulfil an accepted Deal and co-operate with resolution.

8.2 Buyer obligations

  • Submit Offers only when genuinely intending to purchase; serial non-completion may result in account suspension.
  • Pay the full invoiced amount by the due date stated on the Pro Forma Invoice.
  • Inspect goods promptly upon receipt and file any RMA claim within 30 calendar days of deal acceptance.
  • Provide accurate shipping and billing details to avoid delivery delays.
  • Comply with all applicable import regulations, customs duties, and VAT obligations in the destination country.
  • Not reverse-engineer, alter, or remove any serial numbers or identifying marks from received devices.

9. Offer & Acceptance

9.1 Formation. A binding Transaction is formed at the moment a Seller expressly accepts a Buyer's Offer via the Platform. A Pro Forma Invoice is automatically generated upon acceptance and sent to both parties by email. The Pro Forma Invoice constitutes confirmation of the agreed terms.

9.2 One active Offer. A Buyer may have only one pending Offer per Listing at any time. Submitting an Offer implies a genuine intention to complete the purchase at the stated price and quantity.

9.3 Offer expiry. Offers not accepted or rejected within 5 business days expire automatically unless Mr Used specifies otherwise for a particular Listing.

9.4 Withdrawal. A Buyer may withdraw a pending Offer prior to Seller acceptance without penalty. Once accepted, withdrawal constitutes a breach of contract; Buyers may be held liable for documented losses incurred by the Seller.

9.5 Counter-offers. Sellers and Buyers may negotiate through the Platform's messaging function. No counter-offer is binding unless formally accepted via the Offer mechanism.

10. Pricing & Payment

10.1 Currency & VAT. All Listing prices are in the currency specified in the Listing and are exclusive of VAT and import duties unless explicitly stated. Each party is responsible for its own VAT obligations in accordance with applicable law.

10.2 Payment terms. Unless agreed otherwise in writing, payment is due within 7 calendar days of the Pro Forma Invoice date. Mr Used may offer alternative payment arrangements (e.g. payment on delivery or credit facilities) to eligible Verified users at its discretion.

10.3 Payment methods. Payments are processed through the Platform's supported payment infrastructure. Mr Used does not store card data; all payment processing is handled by certified PCI-DSS compliant providers.

10.4 Late payment. Overdue amounts attract statutory commercial interest under Dutch law (Handelsrente). Mr Used may additionally recover reasonable debt-collection costs. Persistent late payment may result in loss of payment-term privileges and account suspension.

10.5 Platform fee. Mr Used charges a transaction fee in accordance with the current fee schedule published at /pricing. Fees are deducted from Seller proceeds or invoiced separately as specified. Mr Used reserves the right to amend the fee schedule with 30 days' notice.

11. Shipping & Delivery

11.1 Seller responsibility. The Seller bears responsibility for safe packaging, accurate labelling, and timely dispatch. Risk of loss and damage passes to the Buyer upon delivery to the agreed destination (or to the Hub if Hub-verified delivery is elected).

11.2 Incoterms. Unless separately agreed, the default delivery basis is DAP (Delivered at Place) as defined in Incoterms® 2020. The Seller must arrange and bear the cost of carriage to the agreed delivery point.

11.3 Shipping documentation. The Seller must provide a commercial invoice, packing list, and any export/import documents required by applicable law. Mr Used accepts no liability for delays caused by incomplete or inaccurate customs documentation.

11.4 Platform-arranged shipping. Where Mr Used arranges shipping as a supplemental service, the Buyer or Seller (as applicable) must use the generated shipping label and comply with the carrier's packaging guidelines. Damage resulting from non-compliance is excluded from any Hub inspection warranty.

11.5 Delivery disputes. Claims for non-delivery or transit damage must be filed with the carrier within the carrier's claim window and notified to Mr Used within 5 business days of the expected delivery date.

12. Hub Physical Verification

Mr Used operates optional physical inspection Hubs where devices can be received, graded, and dispatched to Buyers. Engaging Hub verification provides both parties with an independent condition assessment.

12.1 Inspection scope. Hub inspections cover: quantity count, cosmetic grade (screen, body, ports), functional testing (battery, charging, camera, connectivity), activation lock check, and IMEI blacklist status. Results are documented in a Hub Report shared with both parties.

12.2 Re-grading. If the Hub finds that devices materially deviate from the Listing grade, Mr Used will notify both parties with the adjusted grade and quantity breakdown. The Buyer may then elect to: (a) accept at an adjusted price reflecting the verified grade; (b) reject the shipment in whole or in part, in which case the goods are returned to the Seller at the Seller's cost.

12.3 Hub inspection is not exhaustive. Hub grading is conducted on a sampling basis for large batches unless full inspection is specifically requested and paid for. Results represent the inspected sample. Mr Used is not liable for defects in uninspected units beyond the findings of the Hub Report.

13. Grading Standards & Condition Warranties

Mr Used uses a standardised grading system. Sellers must apply grades accurately and in accordance with the descriptions below. Buyers are deemed to have accepted the grade description and its associated tolerances at the time of purchase.

Grade CHeavy cosmetic wear — scratches, scuffs, or dents. Functional. Battery health ≥ 70%. May include hairline cracks on non-display surfaces. Sold for resale or repair.
As-Is (A/B+)Sold as inspected — condition clearly visible at time of sale. Functional devices with cosmetic issues beyond Grade C. No cosmetic return rights.
As-IsNo warranty. Condition as photographed or described. Buyer assumes all risk. No returns.

Grade B and above carry an implied warranty that devices match their stated functional description. Grades As-Is and For Parts carry no warranty and are final-sale only.

14. Returns & Disputes

All returns are governed by the Mr Used Returns Policy, which forms an integral part of these Terms. Key principles:

  • 30-day window: Return claims must be filed within 30 calendar days of deal acceptance. Claims filed after this period will not be accepted.
  • Grade-based eligibility: Returns are available for Grade B and above. As-Is, As-Is (A/B+), and For Parts transactions are final sale with no return rights.
  • Evidence required: Claims must be supported by photographic or video evidence, including packaging condition and IMEI/serial numbers where applicable.
  • Resolution options: Depending on Hub re-inspection findings, resolution may take the form of a full refund, partial refund, replacement devices, or a credit note valid for 12 months.

Mr Used acts as an impartial mediator in dispute resolution. Our determination following Hub re-inspection is final and binding on both parties unless a legal claim is filed within 30 days of the determination.

15. Force Majeure

Neither party shall be liable for failure to perform its obligations under a Transaction where such failure results from events beyond that party's reasonable control, including but not limited to: natural disasters, acts of government, embargoes, carrier disruptions, strikes, cyberattacks, or pandemic-related restrictions. The affected party must notify the other party promptly and make reasonable efforts to resume performance. If a force majeure event persists for more than 30 days, either party may cancel the Transaction without penalty, subject to reimbursement of amounts already paid.

16. Intellectual Property

All intellectual property rights in the Platform — including its design, software, databases, trademarks, and content created by Mr Used — are owned by or licensed to Mr Used B.V. You may not copy, reproduce, adapt, or distribute any part of the Platform without prior written permission.

By posting a Listing, you grant Mr Used a non-exclusive, royalty-free, worldwide licence to display, adapt, and distribute that content for the purpose of operating and marketing the Platform. This licence terminates when the Listing is removed, except where Mr Used reasonably needs to retain the content for legal or compliance purposes.

You represent that any content you submit — including product descriptions, photographs, and data — does not infringe the intellectual property rights of any third party.

17. Data Protection

Mr Used processes personal data in accordance with the General Data Protection Regulation (GDPR) and Dutch implementing legislation. Our Privacy Policy describes what data we collect, how we use it, and your rights as a data subject.

By using the Platform, you consent to the processing of your personal and business data as described in the Privacy Policy. Where you provide personal data relating to employees, directors, or other individuals on behalf of your company, you confirm that you have the legal authority to do so.

18. Platform Availability

Mr Used aims to maintain the Platform's availability 24 hours a day, 7 days a week, but does not guarantee uninterrupted access. Scheduled maintenance windows will be announced in advance where possible. Emergency maintenance may occur without prior notice.

Mr Used shall not be liable for any loss caused by Platform downtime, data loss resulting from technical failure, or interruptions to third-party services (including payment processors, email providers, or logistics APIs) integrated into the Platform.

19. Liability & Indemnification

19.1 Limitation of liability

  • Mr Used is an intermediary platform and is not a party to Transactions between Sellers and Buyers.
  • Mr Used does not warrant the accuracy of Listings, the quality of goods, or the performance of any User.
  • Mr Used's total aggregate liability to any User, howsoever arising, shall not exceed the platform fees paid by that User in the three (3) calendar months preceding the event giving rise to the claim.
  • Mr Used shall not be liable for loss of profit, loss of revenue, loss of data, or any indirect, consequential, or special damages, whether or not foreseeable.
  • Where Mr Used provides Hub inspection services, its liability for inspection errors is limited to the fee charged for that specific inspection.
  • These limitations apply to the fullest extent permitted by applicable Dutch law.

19.2 Indemnification. You agree to indemnify, defend, and hold harmless Mr Used B.V., its directors, employees, and agents from and against any claims, losses, liabilities, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your Listings or Transactions; (c) infringement of any third-party right; or (d) any breach of applicable law.

19.3 No waiver. Nothing in these Terms limits liability for fraud, wilful misconduct, or death and personal injury caused by negligence, to the extent that such limitation would be unlawful under Dutch law.

20. Confidentiality

Each party may have access to commercially sensitive information about the other party through the Platform (including pricing, volumes, business contacts, and negotiation history). Each party agrees to hold such information in confidence, not to disclose it to third parties without the other party's consent, and to use it solely for the purpose of executing the relevant Transaction.

This obligation does not apply to information that is publicly available, already known to the receiving party, or required to be disclosed by law or regulatory authority.

21. Account Suspension & Termination

21.1 Termination by you. You may close your account at any time by contacting support@mr-used.com. Closure does not affect obligations arising from Transactions completed prior to termination.

21.2 Suspension or termination by Mr Used. Mr Used may suspend or permanently terminate your account, without prior notice and without liability, in the event of: a material breach of these Terms; fraudulent or deceptive conduct; repeated transaction failures; failure to complete KYC or re-verification; activity that Mr Used reasonably believes constitutes money laundering, fraud, or other criminal conduct; or where required by law or regulatory instruction.

21.3 Effect of termination. Upon termination, your right to access the Platform ceases immediately. Mr Used will provide access to transaction records for a period of 60 days following termination to allow you to retrieve records you are legally required to retain. Thereafter, your data will be retained or deleted in accordance with our Privacy Policy.

21.4 Outstanding obligations. Termination does not relieve either party of obligations arising from Transactions entered into prior to the termination date. Mr Used may retain funds held on behalf of a terminated account pending resolution of outstanding claims or disputes.

22. Amendments to These Terms

Mr Used reserves the right to update these Terms at any time. Material changes will be communicated via email and/or a prominent notice on the Platform at least 14 days before the changes take effect. Continued use of the Platform after the effective date of any amendment constitutes acceptance of the revised Terms.

If you do not agree with an amendment, you may close your account before the effective date without penalty. Closing your account does not affect Transactions already in progress.

23. Severability & Entire Agreement

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be replaced with a valid provision that most closely reflects the original intent.

These Terms, together with the Privacy Policy, Returns Policy, and any supplemental service agreements, constitute the entire agreement between you and Mr Used regarding your use of the Platform and supersede all prior communications or agreements.

24. Governing Law & Dispute Resolution

24.1 Governing law. These Terms and any non-contractual obligations arising from them are governed by and construed in accordance with the laws of the Kingdom of the Netherlands, without regard to its conflict-of-law provisions.

24.2 Jurisdiction. Any dispute arising from or in connection with these Terms or the use of the Platform that cannot be resolved amicably shall be submitted to the exclusive jurisdiction of the competent courts of Amsterdam, the Netherlands.

24.3 Amicable resolution. Before commencing formal legal proceedings, both parties agree to attempt in good faith to resolve any dispute by notifying the other party in writing and engaging in direct negotiation for a period of at least 30 days. This requirement does not prevent either party from seeking urgent interim relief from a court where necessary to prevent irreparable harm.
